These Terms & Conditions (“Terms”) govern the access and use of the LogzAI platform (“Service”), operated by LogzAI SRL. By creating an account or using the Service, you (“User”, “Client”, or “Organization”) agree to be bound by these Terms.

1. Definitions

  • “LogzAI Platform” — the software platform, including all interfaces, ingestion pipelines, AI features, and analytic tools provided by LogzAI SRL.
  • “Client” — the organization or individual subscribing to the Service.
  • “User” — any individual authorized by the Client to access the Service.
  • “Data” — log data, metadata, pseudonymised vehicle identifiers, and any information ingested via the platform.
  • “On-Prem Deployment” — installation of the Service inside the Client's infrastructure or hosting environment.
  • “Agreement” — these Terms, the Privacy Policy, and any supplemental documents.

2. Scope of the Service

LogzAI provides:

  • Cloud usage or on-premise deployment of the LogzAI analytics platform
  • Log ingestion via OTLP-compatible libraries
  • AI-powered anomaly detection & causal explanations
  • Analytical dashboards and insights
  • Configurable data storage

3. Eligibility & Account Responsibilities

To use the Service, you must:

  • Be legally authorized to represent the Client organization
  • Ensure that all Users follow these Terms
  • Maintain accurate and up-to-date account information
  • Protect login credentials and access control

If unauthorized access occurs, the Client must notify LogzAI immediately.

4. Data Ownership & Processing

4.1 Ownership

All log data ingested into the system remains the exclusive property of the Client. LogzAI obtains no ownership rights over client-uploaded or ingested data.

4.2 License to Process Data

The Client grants LogzAI a limited, revocable license to process and (optionally) store data solely for the purpose of operating and improving the Service, including:

  • Applying AI models to identify anomalies
  • Generating explanations and insights
  • Running internal system diagnostics

This aligns with GDPR contractual and legitimate interest bases.

4.3 On-Prem Data Handling

During MVP, all operational data remains within the Client's infrastructure — LogzAI does not export or transfer data externally.

5. IP Ownership & Usage Rights

5.1 LogzAI Intellectual Property

LogzAI retains all rights to:

  • Platform software & source code
  • Anomaly detection models
  • AI explanation algorithms
  • Documentation, workflows, and UI/UX
  • Branding, logo, domain, and visual identity
  • Ingestion pipelines and internal schemas

No rights are transferred to the Client unless explicitly stated.

5.2 Restrictions

Clients may not:

  • Reverse engineer or decompile the platform
  • Copy or redistribute platform components
  • Use the Service to create competing products
  • Remove proprietary notices or confidentiality labels
  • Use LogzAI trademarks without written permission

6. Confidentiality & Security

Both parties agree to maintain strict confidentiality of any non-public information exchanged.

Clients must:

  • Restrict platform access to authorized Users
  • Maintain secure infrastructure for the on-prem deployment
  • Follow LogzAI's recommended access control guidelines

7. Service Availability & Updates

During MVP, the Service is provided “as is,” without service-level guarantees.

LogzAI may:

  • Update features
  • Patch security issues
  • Improve AI models
  • Perform maintenance windows

Clients will be notified of major changes.

8. Acceptable Use Policy

Clients may not use the platform for:

  • Illegal monitoring
  • Re-identification of pseudonymised data
  • Unauthorized data extraction from partners
  • Interference or attempted disruption of the Service

Violations may result in immediate suspension.

9. Term & Termination

Either party may terminate the agreement immediately if no other special agreements were signed by the parties.

Upon termination:

  • Access to the platform is revoked
  • On-prem components must be uninstalled
  • Client data remains client-owned and must be securely destroyed if requested

11. Warranties & Disclaimers

LogzAI provides no warranty that:

  • Insights are error-free
  • AI explanations are always accurate
  • Operations will be uninterrupted

Clients are responsible for validating insights before operational decisions.

12. Limitation of Liability

To the maximum extent permitted by law:

  • LogzAI is not liable for indirect, incidental, or consequential damages
  • Direct liability is limited to the total fees paid in the last 12 months

Not applicable in cases of intentional misconduct or gross negligence.

13. Governing Law

These Terms are governed by Romanian law. Disputes shall be settled in the competent courts of Romania.
